Veridis Capital invests in public companies — through bespoke direct investment, capital markets participation, and the open market.

Veridis Capital is a private investment office focused on the small and micro-cap public equity markets. Each investment we make is built around the specifics of the issuer's existing capital structure and the objectives the business is working to achieve, not retrofitted to a product or mandate we need to fulfill. We engage across the full range of channels available to us in the public markets, and our relationship with a company rarely ends at the closing of a single transaction.
Companies in the small and micro-cap segment face dynamics that larger issuers rarely encounter: compliance windows that close faster than capital can be raised, legacy instruments held by counterparties whose interests have diverged from the company's, and a persistent mismatch between the capital these companies need and what they are routinely offered.
Veridis is built to engage with situations including:
Investment outcomes are subject to market conditions, regulatory actions, and other factors that may be beyond the control of Veridis Capital or the companies with which we engage.
Before committing capital, we map the company's capital structure in full: what is outstanding, what the governing terms permit, how existing holders are likely to behave, and which constraints will shape the financing. That foundation is what lets us move decisively, whether structuring a transaction directly with management or acting in the open market.
This work comes first because it determines everything that follows.
Because we also invest in the open market, our incentives extend beyond any single transaction. A company that fully understands its own capital structure — how to negotiate from a position of knowledge, how to leverage what's already in place, how to position itself for the next raise — is a stronger investment for our portfolio. That alignment is why we invest the time.
This process is informed by nearly a decade of experience executing on the principal side of structured equity transactions, across convertible notes, equity lines, warrant structures, and the full range of instruments that define small and micro-cap capital markets. That perspective allows us to evaluate a company's position from the inside, not from a press release.
When a company earns our conviction, we structure our position through whatever channel fits the situation. The vehicle follows the view, not the other way around.
Arnoldo Nunez III is the Founder and Chief Investment Officer of Veridis Capital. He has spent nearly a decade on the principal side of small and micro-cap capital markets, most recently as a Portfolio Manager at Alumni Capital Management. Over that period, Arnoldo has structured and committed more than $300 million into public issuers across healthcare, mining, technology, cybersecurity, and consumer sectors, working primarily through direct investments including convertible notes, equity lines of credit, registered directs, and preferred structures, complemented by open-market participation. That work has taken him through the complete issuer lifecycle, from pink-sheet origination through Nasdaq uplisting and the execution of long-term strategic objectives. Veridis Capital is the direct continuation of this approach, now operated on a proprietary basis.
